1. AGREEMENT TO TERMS

By accessing and using Ultra Dev Solutions‘ services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”). These Terms constitute a legally binding agreement between you (“Client” or “you”) and Ultra Dev Solutions (“Company,” “we,” “us,” or “our”).

2. SERVICES OFFERED

Ultra Dev Solutions provides the following professional services:

Custom Website Development – Professionally designed websites built specifically for business goals
Website Management – Comprehensive maintenance, security updates, and performance optimization
Mobile Application Development – Custom mobile applications from concept to deployment
UI/UX Design – Professional design services for optimal user experience
Digital Marketing & SEO – Data-driven marketing strategies and search engine optimization
WordPress Development – Custom WordPress solutions and implementations
Shopify/Ecommerce Development – Complete ecommerce platform development
Web Applications – Custom web-based application development

3. PROJECT SCOPE & DELIVERABLES

3.1 Project Definition

Each project will be clearly defined through:

Initial consultation and requirement gathering
Written project proposal outlining scope, timeline, and deliverables
Signed contract specifying all project details
Clear milestone definitions and acceptance criteria

3.2 Project Changes

Any changes to the original scope must be requested in writing
Change requests will be evaluated and priced separately
Additional work will be subject to revised timelines and costs
All changes must be approved by both parties before implementation

4. PAYMENT TERMS

4.1 Payment Structure

Custom Development Projects: 50% deposit required to begin work, remaining 50% due upon completion
Ongoing Services: Monthly billing in advance
Hourly Consulting: Billed monthly with NET 15 payment terms

4.2 Payment Methods

We accept payments via:

Bank transfer/wire transfer
Credit/debit cards
PayPal
Other mutually agreed payment methods

4.3 Late Payments

Late payments are subject to a 1.5% monthly service charge
Services may be suspended for accounts 30+ days overdue
Collection costs and legal fees may be charged to delinquent accounts

5. INTELLECTUAL PROPERTY

5.1 Client Content

Client retains ownership of all content, images, and materials provided
Client grants us license to use materials solely for project completion
Client warrants they have rights to all provided materials

5.2 Custom Development

Upon full payment, client receives ownership of custom-developed code
Client receives source code and necessary documentation
Third-party components remain subject to their respective licenses

5.3 Company Assets

Our proprietary methods, templates, and tools remain our property
Company retains rights to general knowledge and experience gained
Portfolio rights granted to showcase completed work (unless confidentiality agreement exists)

6. CONFIDENTIALITY

Both parties agree to maintain confidentiality of:

Business information and trade secrets
Technical specifications and proprietary methods
Client data and sensitive information
Any information marked as confidential

7. WARRANTIES & DISCLAIMERS

7.1 Service Warranties

We warrant services will be performed in a professional manner
We warrant compliance with industry standards and best practices
We warrant delivered work will substantially conform to specifications

7.2 Disclaimers

NO WARRANTY OF SPECIFIC RESULTS OR OUTCOMES
NO GUARANTEE OF SEARCH ENGINE RANKINGS OR TRAFFIC
NO WARRANTY AGAINST THIRD-PARTY INTERFERENCE OR ATTACKS
SERVICES PROVIDED “AS IS” BEYOND EXPRESS WARRANTIES

8. LIMITATION OF LIABILITY

8.1 Liability Limits

Our total liability is limited to the amount paid for services
We are not liable for indirect, consequential, or special damages
We are not liable for lost profits, data, or business opportunities

8.2 Exceptions

Liability limitations do not apply to:

Willful misconduct or gross negligence
Breach of confidentiality obligations
Violation of intellectual property rights

9. HOSTING & MAINTENANCE

9.1 Hosting Services

Hosting arrangements are separate from development services
We may recommend hosting providers but are not responsible for their performance
Client is responsible for hosting costs and arrangements unless otherwise agreed

9.2 Maintenance Services

Ongoing maintenance requires separate agreement
Maintenance includes security updates, backups, and performance monitoring
Emergency support available for maintenance clients

10. TERMINATION

10.1 Termination by Client

Client may terminate with 30 days written notice
Client remains liable for all work completed and costs incurred
Termination does not relieve payment obligations for completed work

10.2 Termination by Company

We may terminate immediately for:

Non-payment of fees
Breach of these Terms
Illegal or harmful use of our services

11. FORCE MAJEURE

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including:

Natural disasters
Government actions
Internet or infrastructure failures
Pandemic or health emergencies

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by the laws of [Insert Jurisdiction]

Direct negotiation between parties
Mediation if negotiation fails
